“Board Meeting” is a formal meeting of the Board of Directors. A Board Meeting can be a required regularly scheduled meeting as set forth in the Bylaws, such as an Annual Meeting to complete Annual Corporate Maintenance or a special meeting to address and approve specific corporate matters.

A Board Meeting has formal notice and quorum requirements in accordance with the Bylaws and applicable corporate law, and the Board’s deliberations and resolutions during the Board Meeting are documented in the Board Minutes.
