“Action by Incorporator” is a document executed by the Incorporator of a Corporation, which is typically executed and effective immediately following the filing of the Corporation’s
Articles of Incorporation or Certificate of Incorporation with the applicable Secretary of State. In a customary Action by Incorporator, the Incorporator appoints the newly-formed Corporation’s initial Board of Directors. The Incorporator also resigns from any further responsibilities in his or her role as Incorporator upon the execution of the Action by Incorporator and the related appointment of the Board of Directors.
